1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "Purchaser," "you," or "your") and Cosmic Peptides, LLC ("Cosmic Peptides," "Company," "we," "us," or "our") governing your access to and use of our website located at cosmicpeptides.com (the "Site") and the purchase of research chemical products and services offered through the Site (collectively, the "Services").
AGE RESTRICTION: Our Site, products, and services are intended solely for use by individuals who are at least eighteen (18) years of age or the age of majority in their jurisdiction, whichever is greater. We do not knowingly sell products to, collect information from, or market to individuals under the age of 18. If you are under 18 years of age, you must not access or use the Site or attempt to purchase products.
BY ACCESSING OR USING THE SITE, PLACING AN ORDER, OR ACCEPTING DELIVERY OF ANY PRODUCT, YOU REPRESENT AND WARRANT THAT:
- You have read, understood, and agree to be bound by these Terms in their entirety
- You are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater
- You have the legal capacity and authority to enter into this binding agreement
- If representing an organization, you have the authority to bind that organization to these Terms
- You are a qualified researcher, scientist, or authorized representative of a legitimate research institution
- You acknowledge that all products are sold strictly for research use only and are NOT intended for human consumption, therapeutic use, diagnostic purposes, or veterinary applications
IF YOU DO NOT AGREE TO THESE TERMS OR DO NOT MEET THE QUALIFICATIONS STATED HEREIN, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE SITE AND SERVICES.
2. Research Use Only - Critical Restrictions
2.1 Intended Use Restrictions
ALL PRODUCTS SOLD BY COSMIC PEPTIDES ARE INTENDED STRICTLY FOR IN VITRO RESEARCH USE ONLY. Products are sold exclusively for laboratory research, analytical testing, and scientific investigation by qualified professionals in properly equipped research facilities.
PRODUCTS ARE EXPRESSLY NOT INTENDED FOR:
- Human consumption, ingestion, injection, or any form of human administration
- Veterinary use or administration to animals
- Therapeutic, diagnostic, or medical treatment purposes
- Drug compounding, formulation, or pharmaceutical manufacturing
- Cosmetic applications or personal care product formulation
- Food, beverage, or dietary supplement production
- Any use in or on living organisms, human or animal
- Clinical trials, human studies, or medical research involving human subjects
- Any use not in strict compliance with applicable laboratory research standards and regulations
2.2 No Drug or Medical Product
Products sold by Cosmic Peptides are research chemicals and laboratory reagents. They are NOT drugs, medications, dietary supplements, food additives, cosmetics, or medical devices as defined under the Federal Food, Drug, and Cosmetic Act or any other applicable law. Our products have NOT been evaluated, approved, or cleared by the U.S. Food and Drug Administration (FDA) or any other regulatory authority for safety or efficacy for any purpose.
2.3 Prohibited Activities
You expressly agree that you will NOT:
- Use, administer, or facilitate the use of any product in, on, or for any human or animal
- Market, advertise, promote, or represent products as suitable for human consumption or therapeutic use
- Compound, formulate, or process products for drug manufacturing or pharmaceutical production
- Resell, redistribute, or transfer products to unauthorized parties or for unauthorized purposes
- Remove, alter, or obscure product labels, warnings, or documentation
- Provide dosing information, administration instructions, or medical advice to any person
- Make health claims, therapeutic claims, or medical efficacy statements regarding products
- Use products in violation of any federal, state, or local law or regulation
- Export or re-export products in violation of U.S. export control laws or regulations
2.4 Customer Representations and Warranties
By purchasing products, you represent, warrant, and covenant that:
- You are a qualified researcher with appropriate training, credentials, and facilities to handle research chemicals safely
- You will use products solely for lawful in vitro research purposes in a properly equipped laboratory setting
- You have all necessary permits, licenses, and authorizations required to purchase, possess, and use the products in your jurisdiction
- You will comply with all applicable federal, state, local, and institutional regulations governing the use of research chemicals
- You will maintain proper storage, handling, labeling, and disposal procedures in accordance with applicable safety and environmental regulations
- You will not transfer, sell, or distribute products to any unauthorized person or entity
- You acknowledge that misuse of products may result in serious legal consequences, including criminal prosecution, and you assume all such risks
3. Account Registration and Verification
3.1 Account Requirements
To purchase products, you must create an account and provide accurate, complete, and current information, including:
- Full legal name and contact information
- Valid email address
- Valid phone number
- Valid shipping address
- Valid billing address
- Valid payment information
- Professional credentials or institutional affiliation, if applicable
3.2 Institutional and Professional Verification
We reserve the right to verify your professional credentials, institutional affiliation, and intended use of products. Verification may require submission of documentation such as:
- Professional license, certification, or academic credentials
- Institutional affiliation documentation
- Government-issued identification
- Business or institutional tax identification number
- Other documentation as reasonably requested to verify legitimacy and compliance
We may deny or suspend account access, refuse orders, or request additional verification at our sole discretion.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.
4. Orders and Purchases
4.1 Order Process
When you place an order through the Site, you are making an offer to purchase products subject to these Terms. We reserve the right to accept or reject any order for any reason, including but not limited to product availability, errors in pricing or product information, suspected fraudulent or unauthorized transactions, failure to meet verification requirements, or concerns regarding intended use.
4.2 Order Confirmation
Receipt of an order confirmation email does not constitute acceptance of your order. We reserve the right to cancel any order after confirmation if we determine, in our sole discretion, that the order violates these Terms, applicable law, or our internal policies.
4.3 Pricing and Payment
All prices are stated in U.S. Dollars and are subject to change without notice. You agree to pay all charges incurred by you or on your behalf through the Site, including applicable taxes and shipping fees. Payment must be made by accepted payment methods at the time of purchase. We reserve the right to refuse or limit payment methods.
4.4 Taxes
You are responsible for all sales, use, excise, value-added, and other taxes and duties assessed on your purchase, excluding taxes based on our net income. If we are required to collect or pay taxes for which you are responsible, you will be invoiced and must pay such amounts.
4.5 Order Limitations
We reserve the right to limit quantities purchased per person, per household, per institution, or per order. We may refuse or cancel orders that appear to be placed by dealers, resellers, distributors, or unauthorized purchasers. We may require additional verification or documentation before processing high-quantity orders or orders for controlled or restricted substances.
4.6 Payment Verification and Identity Requirements
To prevent fraud and ensure compliance with applicable laws, we reserve the right to verify the identity of any purchaser and the validity of payment methods used. You agree that:
- The name on the payment method must match the name on the account or be an authorized representative of the account holder
- We may require government-issued photo identification, business documentation, or other verification before processing orders
- We may refuse orders paid with prepaid cards, virtual credit cards, gift cards, or other high-risk payment methods
- We may place holds on orders pending verification of payment method, billing address, or shipping address
- We may require additional verification for large orders, repeat orders, or orders exhibiting characteristics of fraudulent activity
- Failure to provide requested verification within the timeframe specified may result in automatic order cancellation
4.7 Payment Authorization and Finality
By submitting payment, you authorize us to charge the payment method provided for the full amount of your order, including all applicable taxes, shipping fees, and other charges. All sales are final upon payment authorization. You represent and warrant that you have the legal right to use the payment method provided and that all payment information you provide is true, accurate, and complete.
4.8 Chargebacks and Payment Disputes
PROHIBITED CHARGEBACKS: You expressly agree that you will NOT initiate a chargeback, payment dispute, reversal, or claim with your bank, credit card company, payment processor, or financial institution (collectively, "Payment Dispute") without first attempting to resolve the matter directly with us through our customer service department at customercare@cosmicpeptides.com.
REQUIRED DISPUTE RESOLUTION PROCESS: Before initiating any Payment Dispute, you must:
- Contact us in writing at customercare@cosmicpeptides.com with a detailed description of the issue
- Provide us with a reasonable opportunity to investigate and respond (minimum ten (10) business days)
- Engage in good faith efforts to resolve the dispute directly with us
- Preserve all products, packaging, and documentation related to your claim
CONSEQUENCES OF UNAUTHORIZED CHARGEBACKS: Initiation of a Payment Dispute without first complying with the dispute resolution process set forth above constitutes a material breach of these Terms. Upon receipt of notification of an unauthorized chargeback or Payment Dispute, we will immediately:
- Terminate your account and permanently prohibit all future purchases
- Assess and pursue collection of an administrative fee to the extent permitted by law to cover investigation costs, processing fees, and administrative expenses
- Pursue collection of the full purchase price of the order plus all applicable fees, costs, and expenses, including reasonable attorneys' fees
- Report the chargeback activity to credit bureaus, fraud prevention services, and merchant protection databases
- Waive and terminate any warranty, return, refund, or other remedy rights you may have had under Section 7 of these Terms
- Pursue all available legal remedies, including but not limited to filing suit in small claims court or superior court for breach of contract, fraud, and unjust enrichment
LEGITIMATE PAYMENT DISPUTES: If you have a legitimate dispute regarding an unauthorized charge or billing error not related to product quality, delivery, or returns, you may contact us at customercare@cosmicpeptides.com. We will work with you in good faith to resolve billing errors. However, disputes related to product claims must follow the procedures set forth in Section 7 (Returns, Refunds, and Cancellations).
COLLECTION RIGHTS: If we are forced to respond to or defend against a chargeback or Payment Dispute, you agree to reimburse us for all costs and expenses incurred, including but not limited to: chargeback fees assessed by payment processors, administrative costs, investigation costs, attorneys' fees (including fees charged on a contingency basis up to forty percent (40%) of amounts recovered), court costs, collection agency fees, and any other costs associated with collection efforts. These obligations survive termination of these Terms and your account.
You acknowledge that research chemicals are specialized products with unique handling, storage, and regulatory requirements, and that chargebacks deprive us of legitimate payment for products that cannot be resold or restocked once delivered. The provisions of this Section 4.8 are necessary and reasonable to protect our business from fraudulent chargebacks and payment abuse. Fraudulent chargebacks may be referred to law enforcement where appropriate.
5. Shipping and Delivery
5.1 Shipping Terms
Products are shipped FOB origin (Free on Board shipping point), meaning that title and risk of loss pass to you upon our delivery to the carrier. We are not responsible for delays, damage, or loss occurring during shipment. All shipping times are estimates and are not guaranteed.
5.2 Domestic Shipping Only
We ONLY ship to addresses within the United States and its territories. We do not accept international orders or ship to freight forwarders, mail forwarding services, or package consolidation services. Orders with international shipping addresses will be cancelled and refunded, less any processing fees.
Products may be shipped to verified addresses within the United States. We reserve the right to require additional verification for any shipping address and may refuse shipment to addresses we cannot verify or that present delivery concerns. Signature confirmation may be required for delivery at our discretion.
5.3 Export Prohibition
YOU ARE STRICTLY PROHIBITED FROM EXPORTING, RE-EXPORTING, OR TRANSFERRING ANY PRODUCTS OUTSIDE THE UNITED STATES. Certain products may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR). Any attempt to export products in violation of U.S. export control laws constitutes a material breach of these Terms and may result in criminal prosecution under federal law. You agree that you will not export, re-export, divert, or transfer any products to any destination outside the United States, regardless of the intended end use.
6. Product Information and Documentation
6.1 Certificates of Analysis
Each product lot is accompanied by a Certificate of Analysis (COA) containing analytical testing results, purity specifications, molecular identity, testing parameters and methodology, testing provider information and certification, links to verify the authenticity of the COA, and handling information. COAs are for informational purposes only and do not constitute a warranty of fitness for any particular purpose.
6.2 Product Specifications
Product descriptions, specifications, and analytical data are provided for informational purposes and are subject to change. While we make reasonable efforts to ensure accuracy, we do not warrant that product descriptions, specifications, or other content on the Site is accurate, complete, reliable, current, or error-free.
7. Returns, Refunds, and Cancellations
7.1 No Returns on Research Chemicals
Due to the nature of research chemicals and regulatory requirements, ALL SALES ARE FINAL, except as required by applicable law. We do not accept returns, exchanges, or provide refunds except as expressly provided in this Section 7 or as required by law.
7.2 Transit Damage & Defects on Receipt
Transit Damage (carrier-caused): As stated in Section 5.1, all shipments are FOB origin. Title and risk of loss transfer to you when we deliver the Products to the carrier. Any loss, delay, or damage occurring in transit is between you and the carrier. We do not accept returns and do not issue refunds or replacements for transit damage.
If a shipment arrives damaged, you must (i) refuse delivery if damage is apparent, or (ii) promptly file a claim with the carrier if damage is discovered after delivery. Preserve all packaging and contents until the carrier completes its inspection. Upon request, we will provide reasonable documentation to support your carrier claim (e.g., commercial invoice, shipment details), but we are not responsible for the outcome of any carrier claim.
Material Manufacturing Defect (as received): All Products are inspected and sealed prior to shipment. If you believe a sealed Product as received exhibits a material manufacturing defect not caused by transit, you must notify us at legal@cosmicpeptides.com within seventy-two (72) hours of delivery and include clear, unaltered photographic and/or video evidence of the claimed defect and the intact tamper-evident seal. We may request additional verification (including timestamped photographs, unedited video, batch/lot labels, or a live video inspection). We do not accept returns. If we confirm a material manufacturing defect, your exclusive remedy, at our sole discretion, is either (a) replacement of the same Product (subject to availability) or (b) refund of the purchase price for the affected units. Any replacement ships FOB origin under the same Shipping Terms.
Evidence Integrity & Anti-Fraud. You expressly warrant that all evidence submitted is authentic, unaltered, and accurately depicts the Product as received. The use of artificial intelligence tools, photo/video editing, or other manipulation to fabricate, alter, enhance, or misrepresent any claim constitutes fraud and a material breach of these Terms. Upon discovery of any fraudulent claim or altered evidence, we may:
- Deny the claim and refuse any refund, replacement, or other remedy;
- Terminate your account and prohibit future purchases;
- Pursue civil remedies (including claims for fraud, conversion, unjust enrichment, and damages) and seek recovery of investigation costs, reasonable attorneys’ fees, and expert fees; and
- Report the activity to law enforcement where warranted.
By submitting any claim, you consent to the foregoing verification procedures and acknowledge that fraudulent submissions may subject you to civil and/or criminal liability, to the fullest extent permitted by applicable law.
Timing: Claims received after seventy-two (72) hours from delivery will not be reviewed. Failure to preserve packaging and contents may result in denial of any claim.
7.3 Order Cancellation
Customer-Initiated Cancellations: You may cancel an order under the following conditions:
- Orders may be cancelled up to two (2) hours after placement, OR
- Orders may be cancelled at any time before a tracking number has been generated, whichever occurs first
To request cancellation, contact us immediately at customercare@cosmicpeptides.com with your order number and cancellation request. Once a tracking number has been generated, the order has entered the fulfillment process and can no longer be cancelled. If your cancellation request is approved, we will process a full refund to your original payment method within five (5) to seven (7) business days.
Company-Initiated Cancellations: We reserve the right to cancel any order at any time for any reason, including but not limited to:
- Product unavailability or backorder status
- Suspected unauthorized use, fraud, or misrepresentation
- Failed verification or inability to confirm customer credentials
- Violation of these Terms or Research Compliance Policy
- Payment authorization failure or suspected payment fraud
- Orders to jurisdictions where products are prohibited by law
- Pricing or product description errors on our website
If we cancel your order, we will notify you via email and process a full refund to your original payment method. We are not liable for any damages, losses, or expenses resulting from order cancellation.
Orders in Transit: Once an order has shipped and is in carrier possession, it cannot be cancelled, recalled, or redirected. Title and risk of loss transfer to you upon delivery to the carrier as described in our Shipping Policy. You remain responsible for payment even if you refuse delivery or fail to accept the package.
7.4 Restocking Fees
In the event we authorize a return in our sole discretion, a restocking fee of up to fifty percent (50%) of the purchase price may apply, in addition to any shipping and handling charges.
8. Disclaimers and Limitations of Liability
8.1 No Warranties
PRODUCTS AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, AND QUIET ENJOYMENT.
WE DO NOT WARRANT THAT:
- Products will meet your requirements or expectations
- Products are suitable for any particular research application or purpose
- Products will produce any particular research outcome or result
- The Site will be uninterrupted, secure, or error-free
- Information provided on the Site is accurate, complete, or reliable
- Defects or errors will be corrected
8.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL COSMIC PEPTIDES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR PRODUCTS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100.00), WHICHEVER IS LESS.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the greatest extent permitted by law.
8.3 Research and Safety Disclaimers
YOU ACKNOWLEDGE AND AGREE THAT:
- Research chemicals can be hazardous and may pose serious health, safety, and environmental risks if mishandled
- You are solely responsible for implementing appropriate safety protocols, personal protective equipment, and handling procedures
- You assume all risks associated with the purchase, possession, storage, handling, use, and disposal of products
- We are not responsible for any injury, illness, death, property damage, or other harm resulting from your use or misuse of products
- You have the knowledge, training, and expertise necessary to safely handle and use research chemicals
- You will comply with all applicable safety regulations, including OSHA, EPA, and institutional safety requirements
9. Indemnification
YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS COSMIC PEPTIDES, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AFFILIATES, AND LICENSORS FROM AND AGAINST ANY AND ALL CLAIMS, DAMAGES, LOSSES, LIABILITIES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING OUT OF OR RELATED TO:
- Your use or misuse of products or services
- Your violation of these Terms
- Your violation of any applicable law, regulation, or third-party right
- Your negligence, gross negligence, willful misconduct, or fraud
- Any injury, illness, death, or property damage caused by your use of products
- Any claim that your use of products infringes or violates any third-party intellectual property or proprietary rights
- Any unauthorized use, administration, or distribution of products by you or your agents
- Your failure to comply with safety, handling, storage, or disposal requirements
This indemnification obligation will survive termination of these Terms and your use of the Site and Services.
10. Intellectual Property Rights
10.1 Our Intellectual Property
The Site and its content, including but not limited to text, graphics, logos, images, software, data compilations, and the compilation and arrangement thereof (collectively, "Content"), are owned by or licensed to Cosmic Peptides and are protected by U.S. and international copyright, trademark, patent, and other intellectual property laws.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site and Content solely for your personal, non-commercial use in connection with purchasing products for legitimate research purposes.
10.2 Restrictions
You may not:
- Reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Content except as expressly permitted
- Use any Content for commercial purposes or for the benefit of any third party
- Remove or alter any copyright, trademark, or other proprietary notices
- Access or use the Site or Content by automated means (including bots, scrapers, or spiders) without our prior written permission
- Reverse engineer, decompile, or disassemble any software or technology used to provide the Site or Services
10.3 Trademarks
"Cosmic Peptides" and our logos, product names, and service marks are trademarks or registered trademarks of Cosmic Peptides. You may not use our trademarks without our prior written permission.
11. Prohibited Conduct
You agree not to:
- Violate any applicable federal, state, local, or international law or regulation
- Infringe or violate our intellectual property rights or the rights of any third party
- Transmit any viruses, malware, or other harmful code
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site
- Impersonate or attempt to impersonate Cosmic Peptides, our employees, another user, or any other person or entity
- Interfere with or disrupt the Site, servers, or networks connected to the Site
- Attempt to gain unauthorized access to any portion of the Site or any other systems or networks
- Engage in any fraudulent, deceptive, or misleading activities
- Harass, abuse, or harm another person
- Use the Site or products for any illegal or unauthorized purpose
12. Termination and Suspension
12.1 Termination by Us
We may terminate or suspend your account and access to the Site immediately, without prior notice or liability, for any reason, including but not limited to:
- Violation of these Terms
- Suspected fraudulent, abusive, or illegal activity
- Failure to provide accurate account information or verification documentation
- Suspected unauthorized use or distribution of products
- Extended periods of inactivity
- At our sole discretion for any reason or no reason
12.2 Effect of Termination
Upon termination, your right to use the Site and Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Dispute Resolution and Arbitration
13.1 Informal Dispute Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at legal@cosmicpeptides.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within sixty (60) days after submission, you or we may bring a formal proceeding.
13.2 Binding Arbitration
YOU AND COSMIC PEPTIDES AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE BREACH, TERMINATION, ENFORCEMENT, INTERPRETATION, OR VALIDITY THEREOF, OR THE USE OF THE SITE OR SERVICES (COLLECTIVELY, "DISPUTES") WILL BE RESOLVED BY BINDING ARBITRATION, EXCEPT THAT EACH PARTY RETAINS THE RIGHT TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF IN A COURT OF COMPETENT JURISDICTION TO PREVENT THE ACTUAL OR THREATENED INFRINGEMENT, MISAPPROPRIATION, OR VIOLATION OF A PARTY'S INTELLECTUAL PROPERTY RIGHTS.
The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in San Antonio, Texas, unless you and we agree otherwise. Unless otherwise required by law, each party will be responsible for paying any AAA filing, administrative, and arbitrator fees in accordance with AAA rules. The award rendered by the arbitrator may include costs of arbitration, reasonable attorneys' fees, and reasonable costs for expert and other witnesses, to the extent permitted by law and AAA rules. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
13.3 Class Action Waiver
YOU AND COSMIC PEPTIDES AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. UNLESS BOTH YOU AND WE AGREE, NO ARBITRATOR OR JUDGE MAY CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
13.4 Exceptions to Arbitration
Either party may bring a lawsuit in court solely for injunctive relief to stop unauthorized use or abuse of the Site or Services or infringement of intellectual property rights without first engaging in the informal dispute resolution process described above.
13.5 Opt-Out Right
You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notice of your decision to opt out to legal@cosmicpeptides.com with the subject line "ARBITRATION OPT-OUT." Your notice must include your name, address, and a clear statement that you want to opt out of this arbitration agreement. If you opt out, all other parts of these Terms will continue to apply.
14. Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or related to these Terms or their subject matter shall be governed by and construed in accordance with the internal laws of the State of Texas, without giving effect to any choice or conflict of law provision or rule.
To the extent that arbitration does not apply, you and Cosmic Peptides agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Bexar County, Texas. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
15. Modifications to Terms
We reserve the right to modify or replace these Terms at any time in our sole discretion. If we make material changes, we will notify you by posting the updated Terms on the Site and updating the "Effective Date" at the top of this page. We may also provide notice via email or through the Site.
Your continued use of the Site or Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Site and Services immediately.
16. Severability and Waiver
16.1 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.
16.2 Waiver
No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure by us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
17. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or policies published by us on the Site, constitute the entire agreement between you and Cosmic Peptides regarding your use of the Site and Services and supersede all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter.
18. Assignment
You may not assign or transfer these Terms or your rights and obligations hereunder, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
19. Force Majeure
19.1 Company Force Majeure
We shall not be liable for any failure or delay in performance under these Terms due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, earthquakes, hurricanes, severe weather, accidents, pandemics, epidemics, public health emergencies, strikes, labor disputes, supplier failures, carrier disruptions, utility failures, internet outages, cyberattacks, government actions, changes in law or regulation, or shortages of transportation facilities, fuel, energy, labor, or materials (each, a "Force Majeure Event").
In the event of a Force Majeure Event affecting our operations, we may, in our sole discretion:
- Delay shipment until the Force Majeure Event is resolved
- Cancel pending orders and issue full refunds
- Temporarily suspend operations and order acceptance
- Allocate limited product availability among customers in a fair and equitable manner
We will make reasonable efforts to notify affected customers and resume normal operations as soon as practicable.
19.2 Customer Force Majeure
We recognize that customers may experience legitimate emergencies or extraordinary circumstances that prevent timely receipt or acceptance of orders. If you experience a Force Majeure Event that prevents you from receiving or accepting delivery of your order, you may request accommodation under the following conditions:
Qualifying Customer Force Majeure Events:
- Natural disasters affecting your location (hurricanes, earthquakes, floods, wildfires, tornadoes, severe weather)
- Government-mandated evacuations or shelter-in-place orders preventing delivery acceptance
- Public health emergencies or quarantine requirements
- Facility closures due to fire, flooding, or other catastrophic damage
- Utility failures (extended power outages, water service interruptions) that prevent proper product storage
- Sudden medical emergencies requiring hospitalization or preventing presence at delivery location
Force Majeure Request Procedures:
To request accommodation for a Force Majeure Event, you must:
- Notify Us Immediately: Contact us at customercare@cosmicpeptides.com as soon as you become aware of the Force Majeure Event, and in any event before the scheduled delivery date
- Provide Documentation: Provide reasonable documentation of the Force Majeure Event, such as government emergency declarations, news reports, medical documentation, or photographs of damage
- Request Specific Accommodation: Clearly state whether you are requesting delayed shipment, shipment hold, or order cancellation
Available Accommodations:
Upon verification of a qualifying Force Majeure Event, we may, in our sole discretion, offer one of the following accommodations:
- Shipment Hold: Hold your order at our facility for up to thirty (30) days until you are able to receive delivery (subject to product availability and storage limitations)
- Delayed Shipment: Reschedule shipment to a later date within sixty (60) days when you are able to receive delivery
- Address Change: Allow one-time address change to an alternative verified address where you can safely receive delivery
- Order Cancellation with Store Credit: Cancel your order and issue a store credit for the full order amount (including shipping) valid for one (1) year, to be used for a future purchase
No Refunds for Customer Force Majeure: Force majeure accommodations do not include cash refunds, except where required by applicable law. Once an order has been placed and payment processed, you will receive either delayed shipment or store credit, but not a refund to your original payment method, unless otherwise required by law. This policy is necessary due to the nature of research chemicals and our procurement and fulfillment processes.
Limitations and Exclusions:
The following circumstances do NOT qualify for customer force majeure accommodation:
- Change of mind, buyer's remorse, or no longer needing the product
- Financial hardship or inability to pay
- Vacation, travel, or planned absence from delivery location
- Minor inconveniences or scheduling conflicts
- Delivery delays or issues caused by the carrier (these are addressed under our Shipping Policy)
- Failure to monitor tracking information or be present for delivery
- Force Majeure Events that occur after delivery has been completed
Time-Sensitive Orders: If you have time-sensitive research needs and cannot accommodate potential force majeure delays, we recommend purchasing shipping insurance and coordinating delivery timing to ensure you will be present and able to receive the package.
19.3 Force Majeure Does Not Excuse Payment Obligations
Force Majeure Events, whether affecting you or us, do not excuse your payment obligations. You remain obligated to pay for orders placed, and chargebacks initiated due to force majeure circumstances are expressly prohibited and will be treated as breaches of contract under Section 4.8 of these Terms.
20. U.S. Government Rights
If you are a U.S. government entity or using products on behalf of a U.S. government entity, our products are "Commercial Items" as defined in FAR 2.101 and are provided with only those rights as are granted to all other end users pursuant to these Terms.

You agree to comply with all applicable federal, state, and local laws and regulations in connection with your use of the Site and products, including but not limited to:
- Controlled Substances Act (21 U.S.C. § 801 et seq.)
- Federal Food, Drug, and Cosmetic Act (21 U.S.C. § 301 et seq.)
- Drug Enforcement Administration (DEA) regulations
- Export Administration Regulations (EAR)
- Office of Foreign Assets Control (OFAC) sanctions
- Occupational Safety and Health Administration (OSHA) regulations
- Environmental Protection Agency (EPA) regulations
- State and local research chemical regulations
- Texas state chemical regulations and licensing requirements
- Institutional biosafety and chemical safety requirements

- Submitting payment for products
- Accepting delivery of products
- Opening, using, or possessing products after delivery

- Any other action that demonstrates your intent to purchase or use products
BY TAKING ANY OF THE ABOVE ACTIONS, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE IN THEIR ENTIRETY, UNDERSTAND THEM, AND AGREE TO BE LEGALLY BOUND BY THEM. YOU FURTHER ACKNOWLEDGE THAT:
- You are purchasing research chemicals intended strictly for in vitro research use only
- Products are not intended for human consumption, therapeutic use, diagnostic purposes, or any application involving living organisms
- Misuse of products may result in serious injury, death, property damage, environmental harm, and criminal prosecution under federal and state laws
- You possess the professional qualifications, scientific training, technical expertise, and properly equipped laboratory facilities necessary to safely handle, store, and use research chemicals
- You assume all risks associated with the purchase, possession, transportation, storage, handling, use, and disposal of products
- You will use products solely in compliance with all applicable federal, state, local, and international laws, regulations, and institutional policies
- You waive any right to pursue class action litigation, representative action, or jury trial for disputes arising under these Terms
- You have had the opportunity to review these Terms with legal counsel of your choosing prior to acceptance
- These Terms constitute a legally enforceable contract between you and Cosmic Peptides
- Your failure to read these Terms does not excuse you from compliance with all provisions herein
NOTICE: If you do not agree with these Terms, you must immediately cease all use of the Site and Services and refrain from placing orders. Continued use of the Site, completion of a purchase, or acceptance of delivery after having the opportunity to review these Terms shall constitute conclusive evidence of your acceptance and agreement to be bound by these Terms as a matter of law.
